TERMS OF BUSINESS
Terms of business.
The terms on which TKJ Global Media Ltd, trading as TKJ Legal Services, provides its services. Please read them before accepting a quote.
DRAFT — not yet reviewed by a solicitor. This page is published in the preview build so that it can be reviewed in context. It must be settled by a solicitor before the site goes live.
1. Who we are
TKJ Legal Services is a trading style of TKJ Global Media Ltd (Registered in England & Wales No. 08272919). Registered Office: 94 Queen Elizabeth Road, Wakefield WF1 4RJ. VAT Registration No. GB282231226. TKJ Global Media Ltd is a commercial provider of legal and consultancy services and is not a law firm regulated by the Solicitors Regulation Authority (SRA).
In these terms “we”, “us” and “TKJ Legal Services” mean TKJ Global Media Ltd trading as TKJ Legal Services, and “you” means the person or business engaging us.
2. Regulatory status
Notice regarding Regulatory Status: TKJ Legal Services is a legal service provider operated by TKJ Global Media Ltd. We are not an SRA-regulated law firm. While our team includes experienced legal professionals, our services are limited to the legal activities we may lawfully provide. Engagements with TKJ Legal Services are covered by our commercial Professional Indemnity Insurance but do not carry the statutory protections of the SRA Compensation Fund or the mandatory SRA Minimum Terms and Conditions for solicitors’ professional indemnity insurance.
No one at TKJ Legal Services practises as a solicitor or barrister, and we do not hold ourselves out as doing so. Nothing in an engagement with us creates a solicitor–client relationship, and legal professional privilege does not attach to our advice. If privilege matters in your matter, involve a qualified lawyer before sharing sensitive material with us.
3. What we do, and what we never do
In England and Wales the Legal Services Act 2007 reserves six activities to regulated lawyers. Everything else — including most of the legal work a business needs — may lawfully be provided by anyone with the skill to do it. That is the basis on which we trade, and this clause sets out where our work begins and ends.
We provide legal and consultancy services under the law of England and Wales: commercial contract drafting and review; employment law and HR compliance; intellectual property strategy and trade mark applications; data protection and regulatory consultancy; corporate governance and company law; motoring and traffic matters; alternative dispute resolution, including representation at mediation and arbitration; representation at tribunals; and general legal guidance by telephone.
We do not carry on any reserved legal activity within the meaning of section 12 of the Legal Services Act 2007 — the exercise of a right of audience, the conduct of litigation, reserved instrument activities, probate activities, notarial activities or the administration of oaths — and we do not provide immigration advice or services (Immigration and Asylum Act 1999) or claims management services (regulated by the Financial Conduct Authority). Where a matter requires any of those we will tell you and, where we can, help you find a suitably regulated adviser.
4. How an engagement works
Each engagement begins with a written quote setting out the scope of work, the fee and the expected turnaround. The engagement starts when you accept the quote in writing (email is sufficient). Work outside the scope is quoted separately before it is done. We rely on the information and documents you give us being accurate and complete.
5. Fees and payment
Fees are fixed as stated in the quote. Invoices are payable within 14 days of the invoice date by card or bank transfer. VAT at the standard rate applies to our fees and is shown on every quote and invoice. We never hold client money: we do not accept money on account, on trust or in escrow, and every payment you make to us is for work done or for a retainer as quoted.
Each matter is given a file number, which appears on the quote and on every invoice for that matter. Please quote it as the reference when you pay, so that your payment can be matched to your matter. The file number identifies the matter and does not replace the invoice number, which identifies the invoice.
We will never notify you of a change to our bank details by email. If you receive any message appearing to do so, do not act on it: telephone us on the number published on our website and verify it before sending any payment.
6. Cancellation
If you are a consumer, you have the right to cancel within 14 days of accepting a quote under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. If you ask us to start work within that period you will be asked to confirm that request expressly and to acknowledge that you must pay for work done up to the point of cancellation, and that the right to cancel is lost once the work has been fully performed. Business customers may cancel on the notice stated in the quote.
7. Our standard of care
We will perform the services with reasonable care and skill. Where you are a consumer this term is implied by section 49 of the Consumer Rights Act 2015 and nothing in these terms limits it.
8. Liability
Business customers. Our total liability to a business customer arising out of or in connection with an engagement is limited to the amount recoverable under our professional indemnity insurance in respect of that claim. We are not liable for indirect or consequential loss, loss of profit, loss of business or loss of data. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be limited.
Consumers. Nothing in these terms limits our liability to a consumer for failure to perform the services with reasonable care and skill, and nothing affects your statutory rights.
9. Confidentiality and data protection
We keep what you tell us confidential and use it only to provide the services, except where the law requires disclosure. Personal data is handled as described in our privacy notice; TKJ Global Media Ltd is registered with the Information Commission, the UK’s data protection regulator (which operates as the Information Commission’s Office, or ICO), under number ZC223758. Calls to TKJ Legal Services are recorded for quality, training, and compliance purposes in accordance with our Privacy Policy.
10. Complaints
If you are unhappy with our work, write to hello@tkjlegalservices.co.uk and we will acknowledge the complaint within five working days and respond substantively within twenty. Because we are not an authorised person under the Legal Services Act 2007 the Legal Ombudsman cannot consider complaints about us; consumers may take a dispute to the courts of England and Wales, and nothing here affects your statutory rights.
11. Governing law
These terms and each engagement are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction, save that a consumer may also bring proceedings in the courts of the part of the United Kingdom in which they live.
